Low & Bonar PLC29 July 2005 Low & Bonar PLC (the "Company") In accordance with the Chairman's Service Contract dated 28 October 2004, Low &Bonar PLC announces that 8,428 ordinary shares of 50p each in the Company("Shares") were transferred to the Company's Chairman, Duncan Clegg by HillSamuel Offshore Trust Company Limited as trustee of the Low & Bonar 1995Employees' Share Ownership Plan Trust ("the Trustee") on 26 July 2005, asnotified to the Company by the Trustee on 27 July 2005. The transfer of 8,428 Shares to Mr Clegg represents the after-tax share elementdue in respect of the period 1 December 2004 to 31 May 2005. Mr Clegg has agreedto retain the Share element for the period of his Chairmanship. Following thetransfer, Mr Clegg owns 36,215 Shares. Following the transfer of 8,428 Shares to Mr Clegg, the Trustee holds a total of58,422 Shares. Mr Clegg and the executive directors are for Companies Actpurposes deemed to be interested in all these 58,422 Shares.
