Vedanta Resources PLC06 April 2005 6 April 2005 VEDANTA RESOURCES PLC (the "Company") Appointment of Directors As announced on 24 March 2005, Mr Kuldip Kaura and Mr Euan Macdonald wereappointed executive and non-executive directors of the Company, respectively. Mr Kaura is currently a director of Hindustan Zinc Limited and SterliteIndustries (India) Limited. He holds no other current directorships of publiclyquoted companies. He served as a director of ABB India Limited until October2001 but has not served as a director of any other publicly quoted company inthe previous five years prior to his date of appointment as a director of theCompany. There are no other disclosures required under Paragraph 6.F.2 (a) to (g) of theListing Rules in respect of Messrs Kaura and Macdonald. Mr Kaura notified the Company that, as at the date of his appointment as anexecutive director of the Company, he had the following interests in the sharesof the Company: - 50,000 ordinary shares of US$0.10 each, representing 0.017% of the issued share capital of this class; - a contingent right to acquire a maximum of 50,000 ordinary shares of US$0.10 each, representing 0.017% of the issued share capital of this class, which was granted on 26 February 2004 under the Vedanta Resources Long-Term Incentive Plan. Awards made under this plan normally only vest on the third anniversary of grant and the number of shares that may be acquired on vesting of the award is dependent upon the extent to which a specified performance target has been satisfied and subject to the participant's continued employment at that date. Mr Macdonald has no notifiable interests at the date of his appointment.
