BBA Group PLC07 June 2005 7 June 2005 BBA Group plc Notification of Directors' Interests Pursuant to the Company's obligations under Section 329 of the Companies Act1985 and Chapter 16 of the Listing Rules, BBA Group plc hereby notifies thefollowing dealings in BBA Group ordinary shares of 25 pence each ("ordinaryshares") by its directors: 1. Bruce Van Allen has today notified the Company, that he has elected to purchase 19,703 ordinary shares ("Purchased Shares") under the terms of the BBA Group 2004 Long-Term Incentive Plan (the "Plan") using part of his 2004 bonus. BWCI Trust Company Limited as Trustees of the BBA Group Employee Benefit Trust allocated the Purchased Shares to him on 6 June 2005 at an allocation price of £3.0675. The allocation price is the middle market quotation of an ordinary share on Monday, 6 June 2005. 3. Bruce Van Allen has today notified the Company, that following the allocation referred to in Paragraph 2 above, an award of 9,851 Matched Shares was made to him under the Plan on 6 June 2005, as a result of which he will have the right to acquire the Matched Shares for nil consideration subject to his Purchased Shares remaining in the BBA Group Employee Share Trust until the third anniversary of the allocation date. 4. As a result of the transactions detailed above, Roy McGlone has increased his total beneficial holding in ordinary shares by 73,294 to 191,915, Andrew Wood has increased his total holding by 24,000 to 40,085 and Bruce Van Allen has increased his total beneficial holding by 19,703 to 40,277.
