MODWEN PROPERTIES PLC DIRECTOR SHARE NOTIFICATION Ordinary Shares of 10p each The Company announces that on 22nd March 2005 Anthony Glossop, Chairman,exercised rights under the Company's Deferred Share Scheme and acquired 132,878ordinary shares in the Company at nil cost. This represents 0.11% of theCompany's issued share capital. Mr Glossop then sold 53,152 shares for 366.5pper share and transferred a further 70,000 shares into non-beneficial familytrusts of which he is a trustee. He has retained a further 9,726 shares. Following these transactions, Mr Glossop's total beneficial share holding nowamounts to 1,706,001 ordinary shares, representing 1.41% of the Company's issuedshare capital.
