Low & Bonar PLC28 April 2005 Low & Bonar PLC (the "Company") announces that it issued 102,935 ordinary sharesof 50p each in the Company ("Shares") to Hill Samuel Offshore Trust CompanyLimited as trustee of the Low & Bonar 1995 Employees' Share Ownership Plan Trust(the "Trustee") on 19 April 2005. The shares, allotted at par value, were issuedto the Trustee in order to satisfy the vesting of a Recovery Phase Award (the"Award") made under the Low & Bonar 2003 Long-Term Incentive Plan. Following theallotment, a total of 51,467 Shares were transferred to the recipient of theAward who is not a director of the Company. Following the transfer of 51,467 Shares, the Trustee holds 66,850 Shares.
