Kesa Electricals plc31 May 2005 31 May 2005 Kesa Electricals plc - Directors' Shareholding Kesa Electricals plc became aware on 27th May 2005 that: 1. Certain Directors of Kesa Electricals plc, whose names are set outbelow, technically became interested on that date in 92,876 Kesa Electricals plcordinary shares of 25p each by virtue of the LTIP (a discretionary trustestablished by Kesa Electricals plc for the benefit of its employees and thoseof its subsidiaries) exercising rights to require Kesa to allot shares underarrangements for it to satisfy share awards granted to employees. 2. Each of the below-named Directors of Kesa Electricals plctechnically became interested on that date in 92,876 Kesa Electrical plcordinary shares of 25p each by virtue of the LTIP arranging for the allotment ofsuch shares directly to the order of the employees exercising those awards. The total holding of the LTIP following this allotment is 92,876 KesaElectricals plc shares. Note: For Companies Act purposes, certain Directors of Kesa Electricals plc,whose names are set out below, together with all employees of the Company, aredeemed to have a technical interest in any shares in which Kesa's LTIP has aninterest.
