Stagecoach Group PLC23 March 2005 Stagecoach Group plc ("the Company") was today, 23 March 2005, notified of are-allocation of Brian Souter's beneficial shareholding in the Company. There isno change in the total shares in which Brian Souter has an interest. Brian Souter transferred 1,400,000 ordinary shares of 12/19th pence each in theCompany from shares held in his own name, at nil consideration, to the theSouter Charitable Trust (also a beneficial holding). Following the transfer,Brian Souter's total shareholding remains at 156,018,651 ordinary shares whichrepresents 14.66% of the total Ordinary Shares in issue. In addition, as an Executive Director of the Company, Brian Souter is apotential beneficiary of the Stagecoach Group Employee Benefit Trust 2003 whichholds 4,690,333 ordinary shares of 12/19th pence each, representing 0.44% of thetotal Ordinary Shares in issue.
