Directors' Shareholdings and Issue of Equity
London: 6 April 2010 - Oxus Gold Plc ("Oxus"or the "Company") (OXS.L) announces that application has today been made for 1,077,671 new ordinary shares of 1p each in the Company to be admitted to trading on the AIM market of the London Stock Exchange. Further to the announcement on 8 December 2008, the new shares were allotted to Directors and senior management of the Company on 1 April 2010 at a price of 8.03p per share in lieu of fees and salaries for the period 1 January 2010 to 31 March 2010.

Miradil Djalalov also has a beneficial interest in 71,799,513 ordinary shares of the Company, representing approximately 18.12 per cent of the Company's issued ordinary share capital, through his interest in Zeromax GmbH.
As announced on 31 March 2010, John Donald retired from the Oxus Board with effect from 31 March 2010.
The shares were issued at the average mid-market price for the period 1 January 2010 to 31 January 2010.
The new ordinary shares will rank pari passu with the existing ordinary shares and dealings are expected to commence in the new ordinary shares on 12 April 2010.
Following the allotment of the above new ordinary shares, the Company's total voting share capital in issue will be 396,186,285 ordinary shares of 1p each.
