Whitbread PLC27 April 2005 DATE: 27th April 2005 WHITBREAD PLC DIRECTORS' SHARE AWARDS LONG TERM INCENTIVE PLAN Under the terms of the long-term incentive plan of Whitbread PLC, conditionalawards at nil cost were made on 27 April 2005 to executive directors of thecompany in respect of the 3 year performance period 1st March 2005 to 28February 2008. The maximum number of Whitbread PLC Ordinary shares, which eachdirector could potentially receive in respect of this Performance Period, is asfollows :- Number of Shares Stewart Miller 2,642Alan Parker 22,164Angie Risley 11,082 Notes • Exercise of awards is subject to performance criteria based on Whitbread's TSR performance relative to the other companies within a comparator group over the performance period. Leadership Group Incentive Scheme Under the terms of the Whitbread 2004/5 Leadership Group Incentive Scheme, thefollowing awards of shares were made on 27 April 2005 to Executive Directors ofthe Company in respect of the financial year of the Company ended 3 March 2005. Number of Shares Alan Parker 17,731Stewart Miller 2,114David Richardson 12,428Angie Risley 8,865 Notes The awards are not subject to any performance conditions. The awards will vestin full subject to the director remaining an employee of Whitbread until 1stMarch 2008. The awards will also be released in full if the director ceases tobe employed by Whitbread by reason of redundancy, retirement, death, injury, illhealth or disability or the transfer of a business or company in which thedirector is employed outside the Whitbread Group.
