Peacock, a non-executive director of UBC Media Group plc("UBC"), acquired 20,000 ordinary shares of 1p each in UBC ("Shares") at a priceof 30p. In addition, on 6 April 2005 I.M. Peacock transferred 600,000 Shares to TheTrustees of the Michael Peacock Charitable Foundation (Registered Charity No.801441). Following the purchase and transfer I.M.
