Carillion PLC25 April 2005 Carillion plc Employee Share Ownership Trust - Directors' Interests Carillion plc (the Company) was notified today, 25 April 2005, that theCarillion plc Employee Share Ownership Trust (the Trust) transferred on 20 and22 April 2005 16,630 and 3,093 Carillion plc ordinary shares of 50p each (0.009%of the issued share capital) pursuant respectively to the exercise of optionsunder the Carillion Executive Share Option Scheme and Sharesave Scheme. The number of Carillion plc ordinary shares now held by the Trust is 3,948,550(1.84% of the issued share capital). Directors of the Company have an interest in these shares as potentialbeneficiaries under the said Trust.
