Director Shareholding and Issue of Equity

The Company was notified today that earlier today, Dean Webster, Chief Executive Officer, purchased 10,000 ordinary shares of 10 pence each in the Company ('Ordinary Shares') for his SIPP at a price of 26.9 pence per share. In addition, Dean Webster also transferred 80,000 Ordinary Shares from his own name into his wife, Mrs. A Webster's, name.

As a result of this transaction, Dean Webster and his connected persons have an interest in the Company of 963,626 Ordinary Shares representing 1.50% of the issued share capital of the Company.

The Company was also notified today that earlier today, Chris Goscomb, Chief Financial Officer, purchased 38,400 Ordinary Shares at a price of 27.5 pence per share.

As a result of this transaction, Chris Goscomb's notifiable interest in the Company is 135,723 Ordinary Shares representing 0.21% of the issued share capital of the Company. 

The Company was also notified today that earlier today, Derek Pitcher, Director of UK and Ireland, exercised options over 75,000 Ordinary Shares under the Company's Unapproved Share Option Scheme, at a price of 13.6 pence per share.

As a result of the exercise of options, Derek Pitcher's notifiable interest in the Company is 1,606,713 Ordinary Shares representing 2.50% of the issued share capital of the Company.

Further to the acquisition announcement made earlier this morning and in respect of the exercise of options set out above, an application will be made to the London Stock Exchange for 5,701,558 new Ordinary Shares, which will rank pari passu with existing Ordinary Shares, to be admitted to AIM as soon as practicable. That is 5,626,558 new Ordinary Shares in respect of the acquisition of Widnell Limited and 75,000 Ordinary Shares in respect of the exercised options.

The Company now has 64,297,629 Ordinary Shares in issue with voting rights.
