Director Shareholding and Grant of Options

The Board of AFH, a leading financial planning led investment management firm, is pleased to announce that John Wheatley, Chairman of the Board, on 2 February acquired 6,000 ordinary shares of 10 pence each in the Company (the "Ordinary Shares") at a price of 170 pence per Ordinary Share. Following this share purchase, John Wheatley is beneficially interested in 291,706 Ordinary Shares which represents approximately 1.20 per cent. of the current issued share capital of AFH.

Mark Chambers, Non Executive Director of the Board, on 2 February has also acquired 5,000 Ordinary Shares at a price of 170 pence per Ordinary Share. Following this share purchase, Mark Chambers is beneficially interested in 35,000 Ordinary Shares which represents approximately 0.15 per cent. of the current issued share capital of AFH.

The following options were granted on 2 February, at an exercise price of 173 pence per Ordinary Share, to the Company's Executive Directors under a growth share scheme. The growth share scheme options will vest on the third anniversary of the grant date and are subject to performance conditions.

Following the grant of options the total number of options outstanding to subscribe for Ordinary Shares in the Company, will be 2,418,510, representing 10 per cent. of the Company's current issued share capital, of which 1,135,425, representing 4.69 per cent. of the Company's current issued share capital, are held by existing directors of AFH.
