Evolution Group PLC07 March 2005 Evolution Group plcDirector Share Holdings For immediate release 7 March 2005 Evolution Group Plc Sanne Trustee Company UK Ltd as trustee of the Evolution Employee ShareIncentive Plan Trust The Evolution Group Plc ("Evolution" or the "Company"), the investment bank andretail fund management group, announces that Sanne Trustee Company UK Limited(the "Trustee") in its capacity as the trustee of the Evolution Employee ShareIncentive Plan (the "Plan") on Thursday purchased 7,045 Ordinary shares of 1p each at a price of 167 pence per share and that Evolution has today issued 7,045Ordinary shares of 1p each credited as fully paid at 167 pence per share to theTrustee as "matching shares" under the terms of the Plan. The Trustee holds theshares as Nominee for the participants of the Plan.
