Carillion PLC12 April 2005 Carillion plc Employee Share Ownership Trust - Directors' Interests Carillion plc (the Company) was notified today, 12 April 2005, that theCarillion plc Employee Share Ownership Trust (the Trust) transferred on 12 April2005 a total of 18,776 Carillion plc ordinary shares of 50p each (0.009% of theissued share capital) pursuant to the exercise of an option under the CarillionExecutive Share Option Scheme. The number of Carillion plc ordinary shares now held by the Trust is 3,968,273(1.85% of the issued share capital). Directors of the Company have an interest in these shares as potentialbeneficiaries under the said Trust.
