Helphire Group PLC21 December 2006 Helphire Group plc ("Helphire" or the "Company") Directors/PDMR Share options On 20 December 2006 Helphire granted its Directors/PDMRs nil-cost share optionsover ordinary 5p shares ("Shares") in the Company under the Helphire GroupEquity Partnership Plan (the "Plan"). The options will vest on the expiry ofthree years from the date of grant providing Helphire meets the earnings pershare ("EPS") and total shareholder return ("TSR") performance conditions setout in the Plan (see additional information below). EPS Options Under the terms of the Plan those options under the Plan subject to the EPShurdle will vest as follows: • No EPS Options will be available if the Helphire's EPS is less than 27.5pfor the year ended 30 June 2009; • Between 25 per cent. and 100 per cent. of the EPS Options will vest, on astraight-line basis, if Helphire's EPS is between 27.5p and 37.5p for the yearended 30 June 2009; and • All of the EPS Options shall be available if Helphire's EPS is greater than37.5p for the year ended 30 June 2009. TSR Hurdle Similarly, the Plan provides that TSR Options will vest if the TSR, as comparedto a group of appropriate FTSE 250 companies, exceeds certain hurdles asfollows: • No TSR Options will vest if Helphire's TSR is below the median of thecomparator group; • Between 25 per cent. and 100 per cent. of the TSR Options will vest, on astraight-line basis, if the Helphire's TSR is between the median and the upperquartile of the comparator group; and • All of the TSR Options will vest if Helphire's TSR is within the upperquartile of the comparator group.
