Director Participation in Fundraising & TVR
Metir plc (AIM: MET), the leading global provider of mobile and point-of-use water and environmental testing technology, is pleased to announce that, further to the Company's announcement on 10 June 2025, the Participating Directors have subscribed for, in aggregate, £70,000 via the Subscription as part of the Fundraise. The Participating Director have subscribed for 10,727,969 ordinary shares of 0.001 pence each in the Company ("Ordinary Shares") at a price of 0.6525 pence per Ordinary Share, being the higher of the Placing Price of 0.65 pence per Ordinary Share and a 10% discount to the closing price of an Ordinary Share on the business day prior to the date that the directors confirm the Subscription (0.725 pence per Ordinary Share as at 18 July 2025).

Related party transaction
Bob Moore and Dr. Nigel Burton are directors of the Company and as such are considered related parties of the Company for the purposes of the AIM Rules for Companies. The participation of Bob Moore and Dr. Nigel Burton in the Fundraise constitutes a related party transaction pursuant to Rule 13 of the AIM Rules for Companies. The Company's independent director (being Dr. Chris Potts, Non-Executive Director), having consulted with the Company's nominated adviser, Singer Capital Markets Advisory LLP, considers that the terms of the participation of Bob Moore and Dr. Nigel Burton in the Fundraise are fair and reasonable insofar as the Company's shareholders are concerned.
Admission to trading
Application will be made to the London Stock Exchange plc for admission of the Subscription Shares totalling 10,727,969 Ordinary Shares to trading on AIM. It is expected that admission will become effective and dealings in the Subscription Shares will commence at 8.00 a.m. on or around 23 July 2025.
Total Voting Rights
Following the issue of the Subscription Shares as described above, the Company's issued ordinary share capital will consist of 309,906,154 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.
Therefore, the above figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
