DIRECTOR DECLARATION

Pursuant to Listing Rule 9.6.14R, Royal Dutch Shell plc (the "Company") confirms the following:

1. Gerard Kleisterlee, a Non-executive Director of the Company, was appointed to the Board of Dell Inc. with effect from December 8, 2010.

2. Peter Voser, Chief Executive Officer of the Company, will be proposed for appointment to the Board of Directors of Roche Holdings Limited at their 2011 Annual General Meeting. This is scheduled for March 1, 2011.
