DIRECTOR DECLARATION

Pursuant to Listing Rule 9.6.14R, Royal Dutch Shell plc (the "Company") confirms that Gerard Kleisterlee, a Non-executive Director of the Company, will be appointed as a Non-executive Director of Vodafone Group Plc (Vodafone) on April 1, 2011. He will succeed the chairman of Vodafone following the retirement of the present incumbent at the AGM of Vodafone scheduled for July 2011.

Mr Kleisterlee will retire from his current position as President/Chief Executive Officer and Chairman of the Board of Management and the Group Management Committee of Koninklijke Philips Electronics N.V. (Philips) on March 31, 2011.
