Director Dealings
PURCHASE OF PARTNERSHIP SHARES AND AWARDS OF MATCHING SHARES
On a regular, monthly basis the undermentioned directors of the Company (AIM:SHRE.LN) purchase ordinary shares of 0.5 pence as "partnership shares" under the Company's Share Incentive Plan. These purchases are undertaken by the trustee of the Company's Share Incentive Plan, Sharesecure Ltd, a UK registered company, on behalf of these individuals and the shares are purchased in the open market.
In connection with these purchases, on the same date, the directors are awarded ordinary shares of 0.5 pence as "matching shares" under the Company's Share Incentive Plan. No consideration is paid by the grantees for the award of the matching shares and no consideration is due on the release of the matching shares.
The risk of forfeiture attached to the matching shares will normally be removed on the third anniversary of allocation subject to continued employment and the retention of the Partnership shares in connection with which they were awarded.
The Company originally traded, and continues to trade, on Sharemark, a periodic auction-based share trading facility operated by The Share Centre Limited, the Company's principal operating business. Following admission to trading on AIM and PLUS Markets in May 2008, the cost per share of partnership shares could no longer be based on the Sharemark price alone. The Company has now received clarification from HM Revenue and Customs as to the basis on which the cost per partnership share should be derived, taking into account the Company's three execution venues (AIM, PLUS Markets and Sharemark). This has resulted in a re-calculation of the partnership shares, and hence the matching shares, of the undermentioned directors from June 2008, a summary of which is given below:
