Total Voting Rights
The Company has received notification that Dame Erica Pienaar, a non-executive director, has exercised options over 500,000 ordinary shares of 1 pence each ("Ordinary Shares") in the share capital of the Company ("the Option Shares"), granted in July 2015 each at a price of 4.5 pence.
Application has been made for the 500,000 new Ordinary Shares to be admitted to trading on AIM, which is expected to take place on 4 September 2018. The new Ordinary Shares will rank, pari pasu, with the existing Ordinary Shares in issue.
Furthermore, Dame Erica Pienaar has notified the Company that she sold 300,000 Ordinary Shares at a price of 16 pence per share, in order to meet the cost of exercising the Option Shares and associated liabilities.
Following this transaction Dame Pienaar's interest in the share capital of the Company is 200,000 Ordinary Shares, representing 0.15 per cent. of the Company's issued share capital.
Total Voting Rights
In accordance with the provisions of the Disclosure Guidance and Transparency Rules of the FCA, the Company confirms that, following this issue, its issued share capital will comprise 130,707,120 ordinary shares of 1 pence each. All Ordinary Shares shall have equal voting rights and none of the Ordinary Shares are held in treasury. The total number of voting shares in the Company immediately following Admission will therefore be 130,707,120.
