Director Appointment

BOS GLOBAL Holdings Limited ("BOS GLOBAL" or "the Company") (AIM: BOS), the software developer focused on improving productivity and creating operational efficiencies in the workplace by collecting and generating workforce analytics, is pleased to announce that Mr. Marcus Yeoman has today been appointed as a Non-Executive Director of the Company. Mr. Yeoman's appointment follows the announcement of the resignations of Adam Webb and David Ireland (see RNS of 22 December 2017).

The appointment of Mr. Yeoman increases the Board to two (2) directors, which is still below the minimum fixed by the constitution, being a total of three (3). As a result, the actions able to be undertaken by the Board remain significantly restricted pursuant to the Company's constitution, which states that the Directors must not act except in emergencies, for appointing one or more Directors in order to make up a quorum for a meeting of Directors, or to call and arrange to hold a meeting of Members. The Company is seeking the appointment of additional directors, and will provide further updates when this occurs.

Based in London, Marcus Yeoman is a non-executive director of reach4entertainment Enterprises plc and a non-executive director of GoTech Group plc. He is a non-executive director of a number of private companies which have engaged him principally to assist them with their growth strategies. His early career started with the formation of three companies in IT infrastructure and distribution, after which he moved into small company broking and corporate work with Rathbone Stockbrokers Limited and Cheviot Capital (Nominees) Limited. In 2003, Marcus established Springtime Consultants Ltd and has been acting as a consultant or non-executive director to a number of listed companies and SME ventures.

Additional information on Mr. Marcus Yeoman

Mr. Marcus Yeoman, aged 54, currently holds or has held the following directorships and partnerships over the last five years:

Mr. Yeoman was a director of Westgolf (UK) Limited until 30 November 2002. Westgolf (UK) Limited was placed into liquidation on 23 June 2003 with an estimated deficiency to creditors of £938,267.

Mr. Yeoman was a director of Diamond Lifestyle Holdings plc at the time of its being wound up by a voluntary creditor's liquidation on 22 July 2008.

A receiver was appointed to Powamatique Limited on 25 June 2009, while Mr. Yeoman was acting as a director of the company. The receiver was appointed on behalf of a bank in order to recover a commercial property asset over which it held a charge. Mr. Yeoman ceased to act as a director of Powamatique Limited on 5 July 2011 and the company was ultimately dissolved via a compulsory strike off on 17 July 2012.

Mr. Yeoman holds no securities in BOS GLOBAL.

Except as disclosed in this announcement, neither the Company or Mr. Yeoman are aware of any further disclosures that are required in respect of the appointment of Mr. Marcus Yeoman under Rule 17 or paragraph (g) of Schedule Two of the AIM Rules for Companies.
