Recommended cash offer for the acquisition of THUS Group plc by Cable & Wireless Holdco Limited, a wholly-owned subsidiary of Cable and Wireless plc
Delisting of THUS Group plc ordinary shares
THUS Group plc (THUS or the Company) today announces that it has applied to the United Kingdom Listing Authority for the cancellation of listing on the Official List and of admission to trading on the London Stock Exchange of THUS' ordinary shares of 25p each. Cancellation will take place no earlier than 20 business days from today's date and it is currently anticipated that cancellation will take effect from 8.00 a.m. on 30 October 2008.
This follows the announcement on 1 October 2008 by Cable and Wireless plc that its recommended offer to acquire the whole of the issued and to be issued share capital of the Company made through its subsidiary Cable & Wireless Holdco Limited (C&W Holdco) had been declared wholly unconditional and that C&W Holdco intended to procure that the Company applied for the cancellation of listing on the Official List and of admission to trading on the London Stock Exchange of THUS' ordinary shares.
THUS shareholders should note that the cancellation of listing and admission to trading of THUS ordinary shares would significantly reduce the liquidity and marketability of THUS' ordinary shares not acquired under the offer. Once cancellation has taken effect, THUS shareholders will no longer be able to effect transactions in the Company's shares on the London Stock Exchange at the market price. Following cancellation, therefore, THUS shareholders will have to effect any further transactions in the Company's shares off market at a price to be agreed between the relevant parties.
