(Stock code: 0576) DELAY IN DESPATCH OF CIRCULAR IN RELATION TO DISCLOSEABLE AND

CONNECTED TRANSACTIONS

Reference is made to the announcement of Zhejiang Expressway Co., Ltd. (the "Company") dated 20 March 2013(the "Announcement") in relation to proposed acquisitions of an aggregate 76.55% equity interest in ZhejiangJinhua Yongjin Expressway Co., Ltd., which constitute discloseable and connected transactions for the Companyunder the Listing Rules.

Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in theAnnouncement.

As stated in the Announcement, the Company expected to despatch a circular (the "Circular") containing, amongother things, (i) details of the Acquisitions, (ii) a letter from the Independent Board Committee to theIndependent Shareholders regarding the Acquisitions, (iii) a letter of advice from the independent financialadviser to the Independent Board Committee and the Independent Shareholders regarding the Acquisitions, and(iv) a notice of general meeting, to the Shareholders on or before 12 April 2013. As additional time is required for the Company to prepare and finalise the information to be contained in theCircular, the despatch date of the Circular is expected to be delayed to a date falling on or before30 April 2013.
