Northumbrian Water Group PLC12 February 2007 Northumbrian Water Group plc (the "Company") Dealings by employee trusts The Company has been informed that Northumbrian Water Share Scheme TrusteesLimited (the Trustee of the NWG Long Term Incentive Plan) has today, 12 February2007, sold 6,560 ordinary 10 pence shares as a result of the exercise of an LTIPaward by someone who is neither a director of the Company nor a persondischarging managerial responsibility ("PDMR"). The sale of these shares ispursuant to a conditional award of shares made on 27 January 2004. Following this reduction, the Trustee holds 804,428 shares, representing 0.155%of the Company's issued share capital. The Trustee holds these shares in order to satisfy awards made under theCompany's LTIP, and so John Cuthbert and Chris Green, as executive directors ofthe Company, and Ceri Jones and Graham Neave, as PDMRs of the Company, arepotential beneficiaries of these shares. In addition, the Company was advised on 12 February 2007 by the Trustee of theNorthumbrian Water Group plc Share Incentive Plan (the "SIP Trustee") that on 9February 2007 it released 3,120 ordinary 10 pence shares on behalf of certainparticipants of the Company's Share Incentive Plan who have left the Company. Following this transaction the SIP Trustee holds a total of 1,719,153 sharesrepresenting 0.33% of the share capital of the Company. The following people John Cuthbert (Director), Chris Green (Director) and CeriJones (PDMR) are beneficiaries along with other employees, and as such, each isdeemed to be interested in the shares held by the SIP Trustee.
