Dawson International PLC ("Dawson").

Leeds Group plc ("Leeds") owns approximately 29 per cent. of the issued share capital of Dawson. The audited report and accounts of Leeds as at 31 May 2012 recorded the carrying value of its holding in Dawson at £745,000. As at 31 May 2012, the net assets of Leeds were £12.6 million.

The Leeds board notes that the directors of Dawson announced on 8 August 2012 that they have requested that Dawson's shares be suspended while they and their advisers consider their response to the Notices of a Determination of Contribution served by the actuary of the Dawson defined benefit pension plans.

In view of this development, the Leeds Group board view the value of the Leeds Group holding in Dawson as very uncertain and will issue a further update in due course.
