Unidare PLC12 July 2005 Unidare's shareholders approve Daalderop disposal On 31 May 2005 Unidare plc announced that it had entered into a conditionalagreement to sell Daalderop B.V., its Dutch based manufacturing business to 3iGroup plc and 3i Managed Funds ("3i") for a total consideration of €55m, subjectto the approval of Unidare plc's shareholders at an extraordinary generalmeeting of the company, approval by the Netherlands Competition Authority andthere being no material adverse change in the business between signing andcompletion. The Netherlands Competition Authority approved the transaction on 22 June 2005and Unidare plc's shareholders approved the transaction at the extraordinarygeneral meeting of the company held today. The transaction is now expected tocomplete on 19 July 2005. The Board also announced on 31 May that, subject to completion, it would return€47.6m (€2.40 per share) to shareholders by way of the issue and immediateredemption of fully paid up redeemable bonus shares. Payment of the redemptionproceeds will be made on 28 July 2005 to shareholders registered at close ofbusiness on 12 July 2005. The shares will be traded ex the €2.40 capitaldistribution with effect from 13 July 2005.
