CRMC-managed funds increase holdings in AA

Satisfaction of Regulatory Condition on Conditional Placing Commitment

 Following the admission of the Company's ordinary shares to trading on the London Stock Exchange plc ("Admission"), the Company today announces the satisfaction of the relevant consents and regulatory conditions on the conditional placing commitment as set out in the admission document dated 23 June 2014.

On Admission, Acromas Bid Co Limited ("Acromas" or the "Selling Shareholder") retained approximately 4.2 per cent. of the Company's issued ordinary share capital which comprised 23,268,000 existing ordinary shares. Immediately prior to Admission, Cenkos Securities received a conditional placing commitment from certain funds managed by CRMC (the "Conditional Placing Commitment") to acquire up to a further 23,268,000 existing ordinary shares, each at the placing price, from the Selling Shareholder (the "Conditional Offer Shares"), subject to the satisfaction of a number of consents and conditions.

The Company today announces that the relevant consents have been received and the other necessary conditions have also been satisfied and the completion of the sale and purchase of the Conditional Offer Shares will take place on or around 4 August 2014.

Following the satisfaction of the regulatory approvals, the Selling Shareholder, which previously owned 100% of the issued share capital of the AA, will sell its remaining stake in the Company.
