Edinburgh Oil & Gas PLC01 July 2005 1 July 2005 Edinburgh Oil & Gas plc ("the Company") The Court of Session has now sanctioned the Scheme of Arrangement relating tothe recommended proposal for the acquisition of the Company by Dyon UK Limited("Dyon"). It is expected that the certified copy of the interlocutor of theCourt of Session sanctioning the Scheme will delivered to the Registrar ofCompanies on 4 July 2005. Save for the said delivery of the certified copy ofthe interlocutor, all conditions in relation to the Scheme of Arrangementrelating to the recommended proposal for the acquisition of the Company by Dyonhave now been waived by Dyon (to the extent that such conditions had notpreviously been satisfied). The Company has now issued a further 1,671,927 Ordinary Shares pursuant to theexercise of all outstanding Options. Accordingly, the issued Ordinary Sharecapital of the Company is now 43,565,047 Ordinary Shares. The newly issuedOrdinary Shares rank pari passu with the existing issued Ordinary Shares in theCompany and are the subject of previous block listings. Trading in the Ordinary Shares on the London Stock Exchange's market for listedsecurities and the listing of the Ordinary Shares on the Official List will besuspended with effect from the start of business on 4 July 2005 and subject tothe Scheme becoming effective on 4 July 2005, cancelled with effect from thestart of business on 5 July 2005.
