Bank Pekao SA26 April 2006 UNOFFICIAL TRANSLATION (25th April 2006)Report 58/2006: Introduction of Bank shares F series into stock exchange tradingon the primary market of the Warsaw Stock Exchange and date of the firstquotation after assimilation Management Board of Bank Polska Kasa Opieki Spolka Akcyjna ("Bank") informs,that on 24th of April, 2006 Management Board of Warsaw Stock Exchange ("WSE")made Resolution No 114/2006, which decided to introduce 74,937 (seventy fourthousand nine hundred thirty seven) Series F Ordinary Bearer Shares of Bank,having a nominal value of PLN 1.00 (one) each, marked by National Depository forSecurities ("KDPW") by code "PLPEKAO00271" to the stock exchange trading on theprimary market on 26th April, 2006, after assimilation of these shares byNational Depository for Securities with Bank's shares already existing in thestock exchange trading, marked by code "PLPEKAO00016". Assimilation shall bemade on 26th April, 2006, on the base of Resolution No 205/06 of ManagamentBoard of KDPW dated 25th April, 2006. The shares which are subject to theassimilation will be coded "PLPEKAO00016". Management of KDPW announced that as of 26th April, 2006 the 166.808.257 (onehundred sixty six million eight hundred eight thousand two hundred fifty seven)shares is marked by code "PLPEKAO00016". Series F ordinary bearer shares of Bank are taken-up by members of Bank'sManagement as a consequence of Motivation Program introduced by resolutions ofBank's General Meeting of Shareholders on 25th of July, 2003.
