Conversion Notice
Director / PDMR Shareholding
DCD Media has today received conversion notices from Timeweave Ltd, Henderson* and David Green (Executive Director) confirming their intention to convert their holdings in both the 2013 and 2014 Convertible Loan Note Instrument, totalling £1,816,221 in principal and £310,917 of accrued interest, into 2,127,138 new ordinary shares of £1 each in the share capital of the Company ("New Ordinary Shares" and the "Conversion").
Following the Conversion, the resulting holding of Timeweave Ltd, Henderson* and David Green is set out in the table below:

Application has been made for the 2,127,138 New Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur at 8.00am on 7 October 2015
The New Ordinary Shares will rank pari passu with the existing shares in the Company. The total number of Ordinary Shares in issue following the Conversion and Admission will be 2,541,419.
The figure of 2,541,419 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or change to their interest, in the Company under the Disclosure and Transparency Rules.
Pursuant to the Conversion there are no further 2013 nor 2014 Convertible Loan Note Instruments outstanding.
