("BGI") (which beneficially owns Company shares representing approximately25.02% of the total issued and outstanding share capital of the Company(excluding dormant shares) and controls in aggregate, directly and throughproxies, approximately 44% of the voting rights in the Company). Capitalisedterms used but not defined herein shall have the meanings given to them in theCompany's announcement of 24 March 2015. On 30 March, 2015, Israel 18 B.V. ("Israel 18"), which is the controllingshareholder of BGI, received a letter sent on behalf of Mr Zvi Williger and Y.MDekel Holding & Investment Ltd, claiming that Israel 18 has allegedly breachedthe terms and conditions of the Loan Agreement and demanding the return of theLoan Amount currently held in the Escrow Account.
