Confirmation of Director Resignation Date

On 23 January 2012, Ocado Group plc (the "Company") announced that Andrew Bracey, the Company's Chief Financial Officer, had tendered his resignation. Further to this announcement, the Company confirms that Andrew Bracey's resignation will take effect from 23 March 2012.

This disclosure is made pursuant to paragraph 9.6.12 of the Listing Rules.
