Confirmation of Board Changes

Minds + Machines Group Limited (AIM:MMX), the publicly quoted owner and operator of Internet top-level domains, is pleased to confirm that the proposed board changes announced on 11 January 2016 were approved at the Company's board meeting on 2nd February 2016. The board comprises:

Commenting on the changes to the board, Guy Elliott, Chairman of MMX, said:

We would likewise wish to thank once more the retiring directors for their support and guidance while serving on the Board."

Henry Turcan is an experienced corporate financier based in London, having worked in the City for approaching two decades. In 2015, he joined Henderson Volantis Capital as a director of UK Smaller Companies. Before joining Henderson Volantis Capital, he was a director of Novum Securities, an independent UK based stockbroking house which he cofounded in 2006. Prior to this, Henry was a corporate finance director at Evolution Group. His focus areas are corporate finance advice and broking within equity capital markets and he has extensive experience on a broad range of transactions including IPOs on the Main Market and AIM, rights issues, takeovers and corporate finance advice to unquoted companies.

As part of the board reorganisation, the Company confirms the stepping down of Keith Teare, David de Jongh Weill and Elliot Noss as non-executive Chairman and non-executive directors respectively, and of Caspar von Veltheim as an executive director of the Company, effective as of yesterday's board meeting. Mr von Veltheim has been appointed as Director of European Operations of the Company, focused on developing continental European opportunities. He will remain a director of the Company's German subsidiaries, Bayern Connect and Minds + Machines GmbH. In addition, David Weill will continue to work with the Company in an advisory capacity, supporting the Company's expansion into the Chinese market as its special adviser on Asia.

Further to these board changes, membership of the board committees has been reviewed. The audit committee now comprises Guy Elliott and Henry Turcan, and is chaired by Henry Turcan. The remuneration committee comprises Guy Elliott and Henry Turcan, and is chaired by Guy Elliott.

Information required by Schedule 2, paragraph (g) of the AIM Rules for Companies

Mr Henry Arthur James Turcan, aged 42, holds or has held the following directorships and/or partnerships in the previous five years:

**HAJT Limited, a company of which Henry Turcan is the sole director and sole shareholder, is a director of Drumsheugh Gardens LLP and Forres Property Development LLP.

Mr Turcan does not hold any ordinary shares in the Company. Funds managed by Henderson Volantis Capital hold 168,606,742 ordinary shares in the Company, equivalent to 22.09% of the issued ordinary share capital of the Company. Mr Turcan's remuneration due under his letter of appointment with the Company may be paid to Henderson Global Investors Limited.

No additional information relating to Mr Turcan is required to be disclosed under Rule 17 or Schedule 2 paragraph (g) of the AIM Rules for Companies.
