Concert Party Update
The prospectus published by the Company dated 29 January 2014 (available at http://www.rns-pdf.londonstockexchange.com/rns/8191Y_-2014-1-29.pdf) contained details on pages 129 to 131 of certain shareholders of the Company who were presumed to be acting in concert for the purposes of Rule 9 of the Takeover Code (the "Concert Party").
Following a submission by the Company to the Panel on Takeovers and Mergers (the "Panel"), the Panel has agreed with the Company that, based on the facts provided to it, the Concert Party has now split in to two separate groups of shareholders who no longer act in concert with each other, being (i) the McKay family shareholders, who currently hold 10.6% of the Company's existing issued share capital and (ii) the Chilton family shareholders, who currently hold approximately 8.1% of the Company's existing issued share capital. The members of each separate group of shareholders should be presumed to be acting in concert with each other for the purposes of Rule 9 of the Takeover Code.
