Completion of Tranche 2 Placement and Section 708 Notice

Nyota Minerals Limited ('Nyota' or the 'Company'), the East African gold exploration and development company, confirms that it has completed Tranche 2 of its £4,000,000 placement with new institutional investors and existing shareholders including Centamin plc and Resource Capital Fund V LP.

Following the General Meeting held on 4 April and the receipt of £2,100,000 of Tranche 2 funds the Company has issued 105,000,000 ordinary fully paid shares ('Shares') at an issue price of 2p ($0.03) each. In addition, the Company has issued 4,100,000 Shares to the brokers involved with the Placing and 2,278,214 Shares to directors (and ex-directors) of the Company in lieu of directors fees owed.

The Company has also issued 12,470,000 Shares in respect of valid applications under the Share Purchase Plan ('SPP') that closed on 2 April 2013 raising a further $374,100 (before expenses).

Following completion of the above Share issues (in total 123,848,214 new Shares), the total number of ordinary shares on issue is 879,649,127 and the interests of the Directors in the issued share capital of the Company are:

Section 708A Notice

The Company issues this notice pursuant to Section 708A(5)(e) of the Corporations Act in relation to the 123,848,214 new Shares issued.

The Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act, in reliance on Section 708(8) of the Corporations Act. The Company, as at the date of this notice, has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

(b) Section 674 of the Corporations Act.

As at the date of this notice, there is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations Act in relation to the Company.

An Appendix 3B for this issue is attached. In addition Appendices 3Y detailing directors' holdings are also attached .
