Completion of the Purchase of Ordinary Shares in Schroders plc by the Principal Shareholder Group

Further to the announcement on 29 December 2022 and pursuant to the forward purchase agreement entered into with UBS, the purchase of 16,089,467 issued ordinary shares in Schroders plc (the "Company") (representing just under 1% of the total issued share capital) for members of the Principal Shareholder Group (the "PSG") has completed.

No further ordinary shares in the Company will be purchased under this forward purchase agreement, and following its completion, the total holding of the PSG is 711,037,338 ordinary shares (comprising 44.11% of the issued ordinary shares) in the Company.
