CLS Holdings plc ("the Company") Completion of Tender Offer Total Voting Rights

CLS Holdings plc is pleased to confirm that the Tender Offer, as previously announced and described in the circular to shareholders dated 1 December 2008, completed yesterday, 7 January 2009, whereby the Company purchased 13,721,215 Ordinary Shares being 2 in every 9 Ordinary Shares of the Company at 350 pence per share. The purchased shares have been cancelled.

Following the above transaction, the Company now has 53,024,256 Ordinary Shares in issue, of which 5,000,000 Ordinary Shares are currently held by the Company as treasury shares. Therefore the total number of shares in issue excluding treasury shares and also the total number of voting rights in CLS Holdings plc is 48,024,256.
