Completion of Tender Offer and total voting rights

Completion of Tender Offer and total voting rights

The Company announces that the acquisition by the Company of 86,666,666 ordinary shares of 1 penny each in the capital of the Company (the "Shares") pursuant to the tender offer to eligible shareholders launched on 30 November 2020 (the "Tender Offer") has now been completed, with all such Shares being repurchased by the Company and cancelled. Each Share acquired by the Company under the Tender Offer was purchased at the tender price of £0.75 per Share.

Payment to shareholders of the Tender Offer consideration due to them is expected to be despatched today (where made by payment through CREST) and by 4 January 2021 (where made by cheque).

Following the acquisition and cancellation of the tendered Shares by the Company, the Company's issued share capital consists of 78,333,334 Shares. Each Share carries the right to one vote at a general meeting of the Company. The Company holds 6,177,379 Shares in treasury and is not permitted to exercise voting rights in respect of these Shares. Accordingly, the total number of shares with voting rights in the Company is 72,155,955.

The above figure of 72,155,955 represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
