Completion of Placing

Further to the announcement on 28 November 2012, Rare Earth Minerals plc announces that it has completed the Placing and application will be made for the 670,000,000 new Ordinary Shares to be admitted to trading on the AIM market. Admission of these shares is expected to take place on 11 December 2012.

In accordance with the FSA's Disclosure and Transparency Rules and subsequent to the latest issue, the Company advises that its total issued share capital comprises 2,113,619,500 Ordinary Shares and holds no Ordinary Shares in treasury.

The above figure of 2,113,619,050 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the issued share capital of the Company under FSA's Disclosure and Transparency Rules.
