Completion of Placing and Total Voting Rights

Micro Focus International plc ("Micro Focus" or "the Group", LSE: MCRO.L), the international software product group, announces that it has today completed the £158.2m placing that was announced on 22 March 2016 (the "Placing").

A total of 10,873,180 ordinary shares of 10 pence each in Micro Focus have been placed with institutional investors pursuant to the Placing (the "Placing Shares"). 10,872,680 of the Placing Shares have been transferred from treasury, and the balance, being 500 new Placing Shares, have this morning been admitted to the premium listing segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities.

Following the completion of the Placing, the Group's issued share capital now consists of 228,697,736 ordinary shares of 10 pence each with voting rights, of which 136,671 ordinary shares are held in Treasury.

Therefore, the resulting total number of voting rights in Micro Focus International plc is 228,561,065.

The above figure (228,561,065) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Micro Focus International plc under the FCA's Disclosure and Transparency Rules.
