CareTech Holdings PLC (AIM: CTH), a pioneering provider of specialist social care and education services to adults and children in the UK, is pleased to confirm that it has completed its investment into AS Group ("Investment"), details of which were announced on 23 December 2019. CareTech has issued 431,465 Consideration Shares in satisfaction of the Initial Consideration for the investment.

The Investment has initially been made directly by CareTech Holdings Plc rather than through CareTech International Ltd as originally anticipated.

Application has been made for admission of the 431,465 Consideration Shares to trading on AIM, which is anticipated to occur at 8.00 a.m. on Thursday 6 February 2020. The Consideration Shares rank pari passu with the existing shares of common stock of the Group.

Total voting rights

Following the issue of the Consideration Shares, the Group's issued ordinary share capital consists of 112,154,305 ordinary shares. The Group does not hold any shares in treasury. Therefore, the total number of ordinary shares with voting rights in CareTech is 112,154,305.

The above figure of 112,154,305 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
