Completion of additional shares placement

JSC RusHydro has successfully completed the placement of an additional issue of common shares. The state registration number for the issue is 1-01-55038-Е-038D, as of 19.11.2009.

In total, 19,000,000,000 additional shares were placed during the issue, which represents 100% of the total volume of the additional share issue to be placed, including 1.2% of the additional share issue, which was placed to GDR holders via pre-emptive rights realization program.

The decision to enlarge RusHydro's authorized capital was made by the Annual General Meeting of shareholders (AGM) on 10.06.2009.

The shares were placed at a price of 1 (one) ruble 15 kopecks per share with a par value of 1 (one) ruble 00 kopecks. The Russian Federal Service for Financial Markets (FSFM) registered the Company's additional share issue on 19.11.2009. Within 30 days, RusHydro will submit a report to the FSFM for state registration of results of the placement of the additional share issue.

Over-the-counter trading will be possible following state registration of the report on the issue results (tentatively- September-October 2010); trading on exchanges will be possible after the additional issue is listed (tentatively - December 2010).
