Completion of Acquisition and Result of Placing

Low & Bonar is pleased to announce the completion of the acquisition of Texiplast and the successful completion of the placing announced earlier today.

A total of 29,626,000 new ordinary shares of 5 pence each (the "Placing Shares"), representing approximately 9.99 per cent of the issued share capital of the Company, have been placed by Numis Securities Limited at a price of 69 pence per Placing Share, raising gross proceeds of approximately £20.4m for the Company.

The Placing Shares will, when issued, rank pari passu in all respects with the existing ordinary shares, including all rights to all dividends and other distributions declared, made or paid following Admission, other than in respect of the interim dividend which will be paid on 26 September 2013 to shareholders on the register on 30 August 2013.

Application has been made for the Placing Shares to be admitted to the premium segment of the Official List of the UKLA and to trading on the main market for listed securities of the London Stock Exchange plc (together, "Admission"). It is expected that Admission will take place at 8.00a.m. (London time) on 11 September 2013 (at which time the Placing will become unconditional) and that dealings in the Placing Shares will commence at the same time.
