Competition CLEARANCE FOR DISPOSAL OF INM South AFRICA

29 July, 2013 Dublin/London: Independent News & Media PLC ("INM" or the "Company") announces that it has received approval from the South African Competition Commission for the disposal of Independent News & Media (South Africa) ("INMSA").

INM shareholders approved the disposal of INMSA on 17 June, 2013 and, following the receipt of South African Competition Commission approval, the disposal is expected to complete on 15 August, 2013.

As previously outlined, all of the consideration received for the disposal of INMSA (net of transaction expenses) will be applied to debt reduction, thereby securing completion of INM's First Stage Debt Restructuring, as set out in its circular to shareholders dated 24 May, 2013.
