Company update in relation to Israel 18

Ramat Gan, Israel, 30 September 2016

The Company hereby announces that Israel 18 B.V ("Israel 18") notified the Company that Israel 18, a company controlled by Mr. Gregory Gurtovoy, and Ta'aman Food Marketing Ltd have signed a memorandum Of understanding ("MoU") to set up a 50:50 joint venture for joint control over BGI Investments (1961) Ltd. ("BGI"), the Company’s controlling shareholder, and its subsidiaries. The MoU and joint venture arrangements are subject to the Israeli Anti-Trust approval.

The Company will update in due course once negotiations have been progressed.
