SUB: CHANGE IN COMPANY SECRETARY AND COMPLIANCE OFFICER - AXIS BANK LIMITED

REF: SEC. 203 OF THE COMPANIES ACT, 2013 & RULES MADE THEREUNDER READ WITH CLAUSE 36 AND CLAUSE 30 OF THE LISTING AGREEMENT

This is to inform you that the Board of Directors of the Bank has, at its meeting held today inter-alia transacted the following items of business:

· Noted the stepping down of Shri Sanjeev Kapoor from the position of Company Secretary and Compliance Officer of the Bank to take up a new assignment with the Bank, with effect from the close of business hours on 30th April, 2015.

· Pursuant to the above, Shri Girish V Koliyote was appointed as the Company Secretary and Compliance Officer of the Bank under the relevant provisions of the Companies Act, 2013, Rules made thereunder and under the Listing Agreement, with effect from 1st May, 2015.

You are requested to take note of the above and bring this to the notice of all concerned.
