Company Restructuring and Rescue Plan
Pan Pacific Aggregates plc (AIM:PPA), a quarry operator in British Columbia, today announces a restructuring and rescue plan.
The discontinuance of the Reverse Take Over ("RTO"), announced on 18 April 2011, has meant that many of the Company's professional advisers' fees remain outstanding, as they would have been paid out of the planned RTO fund raising. In order to agree an overall payment arrangement with our advisers and certain other creditors, the Company plans to enter into a Creditors Voluntary Arrangement ("CVA"). The Company has appointed Kingston Smith and Partners LLP in relation to this CVA as a part of its restructuring and rescue plan.
It is the Company's priority to have trading in its shares resume as soon as possible. In order for this to happen the Company is in discussions to obtain funding to ensure that Quadling Quarry continues trading and carries out its development plans. It is envisaged that this short-term funding will be achieved by securing a loan against the shares of Pan Pacific Quadling Quarry Ltd.
Thereafter, a further equity fund raising will be sought to repay this loan, provide 12-18 months working capital for Quadling Quarry's next development phase and to pay all the creditors under the CVA.
The Directors will not draw any salary until the Company's shares have resumed trading.
Quadling Quarry
The quarry continues to be fully operational despite the suspension of the Company's shares and the termination of the planned RTO. The quarry is performing to the Directors' expectations and is about to embark on the next stage of its development.
The Company's shares will remain suspended pending clarification of its financial position.
