Comet Circular and Notice of General Meeting

POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING TO APPROVETHE PROPOSED DISPOSAL OF THE COMET GROUP

Further to the announcement made on 9 November 2011, Kesa Electricals plc ("Kesa") announces that the circular (the "Circular") relating to the proposed disposal of Comet Group plc, its subsidiaries and Triptych Insurance N.V. to Hailey Holdings Ltd and Hailey Acquisitions Limited (the "Disposal") has been approved by the UK Listing Authority and has been posted to shareholders. The Circular contains a notice of a general meeting (the "General Meeting") of Kesa to consider and, if thought fit, to pass a resolution approving the Disposal.

The General Meeting will be held at 11.00 am on Thursday 15 December 2011 at Novotel Hotel, 100-110 Euston Road, London NW1 2AJ.

The Circular will be available for inspection on the investor section of the Company's website: www.kesaelectricals.com.

Copies of the Circular are available for inspection at the registered office of Kesa at 22-24 Ely Place, London EC1N 6TE and at the offices of Slaughter and May at One Bunhill Row, London EC1Y 8YY, during normal business hours on any weekday (UK public holidays excepted) with effect from today until the conclusion of the General Meeting.

A copy of the Circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at:
