Tarsus Group PLC19 October 2005 Packaging collaboration Tarsus Group plc ("Tarsus"), the international business-to-business media groupwith interests in exhibitions, conferences and related publishing is pleased toannounce a collaboration agreement with Landon, Farrey & Associates, Inc. (LFA).The agreement relates to the future development of Tarsus's Packaging Summitevent which will take place for the first time in May 2006 in Chicago. ThePackaging Summit consists of the Packaging Summit Conference, Packaging ServicesExpo, Packaging Containers and Materials Expo and the Hall of PackagingExcellence. LFA is a US association management company whose two founders have awealth of experience and contacts within the packaging industry. LFA's expertiselies in effecting cross-promotion and co-sponsorship relationships betweenexhibition content owners and relevant trade industry bodies. Under the agreement Tarsus will acquire from LFA certain intellectual propertyrights ("the Rights") and LFA will commit to a long-term service agreement withTarsus to secure sponsorship agreements from pertinent trade associations and toprovide conference content. The initial consideration for the Rights is expected to be US$359,000 in cashbut is subject to a performance-related maximum of US$925,000. Part of thedeferred performance-related consideration is to be satisfied by the issue of100,000 ordinary shares of 5p each of Tarsus subject to certain performanceconditions, including the achievement of a specified square meterage target. Ifthe conditions are not met by 31 December 2010 the obligation to issue theconsideration shares lapses.
